General terms and conditions of the affiliate program

PREAMBLE
These General Terms and Conditions of Affiliate Program (hereinafter "GTC") define the terms and conditions of participation in the affiliate program offered by:
Imagelys - Jean Bernard Roussilhe , France, reachable at jb-roussilhe@imagelys.com (hereinafter "the Publisher").
The program allows any person (hereinafter "the Affiliate") to promote Imagelys® softwares and services in exchange for a commission.
Registration for the program implies unreserved acceptance of these conditions.
ARTICLE 1 – PURPOSE
The affiliate program allows the Affiliate to receive a commission on sales generated through their affiliate links.
The services concerned are:
Imagelys softwares
Imagelys School Training
ARTICLE 2 – INSCRIPTION
Registration for the program is free.
The Publisher reserves the right to accept or reject any application, without having to justify its decision.
The Affiliate agrees to provide accurate information and to keep it up to date.
ARTICLE 3 – OPERATION
The Affiliate has a unique affiliate link provided via the Systeme.io platform .
When a user clicks on this link, a cookie may be placed to identify the Affiliate.
In the event of a sale, a commission is awarded in accordance with these terms and conditions.
ARTICLE 4 – COOKIES ET ATTRIBUTION
Sales tracking relies on a cookie system.
The cookie's validity period is defined as unlimited, subject to the following conditions:
maintaining the cookie on the user's device
due to the user's failure to delete it
the proper functioning of technical systems
The Publisher does not guarantee perfect attribution of sales in all cases.
In the event of a conflict of attribution, the Publisher reserves the right to determine at its sole discretion which affiliate receives the commission.
ARTICLE 5 – COMMISSIONS
The commission amounts are indicated on the affiliate program pages.
Commissions are only due after the client has actually received payment.
They may be cancelled in the event of a refund, non-payment, fraud or failure to comply with these conditions.
Commissions are subject to validation by the Publisher before payment.
ARTICLE 6 – PAYMENT
Validated commissions are paid between the 10th and 13th of each month, for sales from the previous month.
Payment is made via the Systeme.io platform or any other means determined by the Publisher.
The Publisher reserves the right to apply a minimum payment threshold.
The Affiliate is solely responsible for their tax and social obligations.
ARTICLE 7 – SELF-AFFILIATION AND PROHIBITED PRACTICES
The Affiliate is prohibited from receiving a commission on its own purchases, whether made directly or indirectly.
The following are considered prohibited cases of self-affiliation:
any purchase made by the Affiliate themselves via their affiliate link
any purchase made by a natural or legal person related to the Affiliate
any purchase made via an account, email address or payment method owned or controlled by the Affiliate
any attempt to circumvent the tracking system with the aim of unduly generating a commission
In case of doubt about the origin of a transaction, the Publisher reserves the right to request any supporting document to verify the legitimacy of the sale.
Any commission resulting from self-affiliation or fraudulent behavior may be cancelled, withheld or recovered if payment has already been made.
The Publisher reserves the right to suspend or delete the affiliate account without notice in the event of a violation of this article.
ARTICLE 8 – AFFILIATE OBLIGATIONS
The Affiliate commits to promoting the services in a fair, transparent and compliant manner.
He specifically prohibits himself from:
to spread misleading or false information
to make promises of gains or results
to use spam or abusive sales tactics
to impersonate the brand or the Publisher
to use fraudulent means to generate traffic or sales
ARTICLE 9 – INTELLECTUAL PROPERTY
The brands, content and materials provided remain the exclusive property of the Publisher.
The Affiliate has a right of use limited to the framework of the affiliate program.
ARTICLE 10 – LIABILITY
The Affiliate acts with complete independence.
There is no relationship of subordination, mandate or representation between the Affiliate and the Publisher.
The Affiliate is solely responsible:
of its contents
of its promotional activities
compliance with applicable laws
The Publisher cannot be held responsible for the actions of the Affiliate.
ARTICLE 11 – SUSPENSION AND TERMINATION
The Publisher reserves the right to suspend or terminate the affiliated account at any time in the event of non-compliance with these conditions, fraud or harmful behavior.
Current commissions may be cancelled in case of failure to comply.
ARTICLE 12 – PROGRAMME MODIFICATION
The Publisher reserves the right to modify the program conditions, commissions or payment terms at any time.
ARTICLE 13 – PERSONAL DATA
Data may be processed as part of the program.
Each party undertakes to comply with applicable data protection regulations.
ARTICLE 14 – APPLICABLE LAW
These terms and conditions are governed by French law.
ARTICLE 15 – JURISDICTION
For professionals, any dispute falls under the exclusive jurisdiction of the courts within the jurisdiction of the Court of Appeal of Toulouse, France.
